REVELION TERMS OF SERVICE

SERVICES AGREEMENT

This Services Agreement ("Agreement") is entered into on this day (the "Effective Date") between Revelion Limited ("Revelion", "We", "Us" or "Our"), a company registered in England and Wales (Company Number: 17015507), whose registered office is at 167-169 Great Portland Street, 5th Floor, London, England, W1W 5PF, and the Customer ("Customer", "You" or "Your").

This Agreement includes and incorporates the Subscription Purchase Form, as well as the attached Terms and Conditions, Service Level Terms and Support Level Terms, and contains, among other things, warranty disclaimers, liability limitations and use limitations. There shall be no force or effect to any different terms of any related purchase order or similar form even if signed by the parties after the date hereof.

The Terms and Conditions, Service Level Terms and Support Level Terms to this Agreement referred to and/or included herein constitute integral parts of this Agreement and are incorporated into this Agreement by this reference.


1. TERMS AND CONDITIONS

1.1 Services and Support

Subject to the terms of this Agreement and Schedule A (Service Level Terms), Revelion will use commercially reasonable efforts to provide Customer the Services. As part of the registration process, Customer will identify an administrative username and password for Customer's Revelion account. Revelion reserves the right to refuse registration of or cancel passwords it deems inappropriate.

Subject to the terms hereof, Revelion will provide Customer with reasonable technical support services in accordance with Schedule B (Support Level Terms).

1.2 Restrictions and Responsibilities

Customer will not, directly or indirectly:

  • Reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas, know-how or algorithms relevant to the Services or any software, documentation or data related to the Services ("Software");
  • Modify, translate, or create derivative works based on the Services or any Software (except to the extent expressly permitted by Revelion or authorised within the Services);
  • Use the Services or any Software for timesharing or service bureau purposes or otherwise for the benefit of a third party;
  • Remove any proprietary notices or labels;
  • Share account credentials or allow multiple users to access the Services through a single account.

With respect to any Software that is distributed or provided to Customer for use on Customer premises or devices, Revelion hereby grants Customer a non-exclusive, non-transferable, non-sublicensable licence to use such Software during the Term only in connection with the Services.

Customer may not remove or export from the United Kingdom or allow the export or re-export of the Services, Software or anything related thereto, or any direct product thereof in violation of any restrictions, laws or regulations of the United Kingdom, European Union, or any other applicable jurisdiction.

1.3 Ownership

Customer shall own all rights, title and interest in and to the Customer Data, as well as any data that is based on or derived from the Customer Data and provided to Customer as part of the Services.

Revelion shall own and retain all right, title and interest in and to:

  • (a) the Services and Software, all improvements, enhancements or modifications thereto;
  • (b) any software, applications, inventions or other technology developed in connection with Implementation Services or support; and
  • (c) all intellectual property rights related to any of the foregoing.

Notwithstanding anything to the contrary, Revelion shall have the right to collect and analyse data and other information relating to the provision, use and performance of various aspects of the Services and related systems and technologies (including, without limitation, information concerning Customer Data and data derived therefrom), and Revelion will be free (during and after the term hereof) to:

  • (i) use such information and data to improve and enhance the Services and for other development, diagnostic and corrective purposes in connection with the Services and other Revelion offerings; and
  • (ii) disclose such data solely in aggregate or other de-identified form in connection with its business.

No rights or licences are granted except as expressly set forth herein.

1.4 Feedback and Suggestions

Customer may from time to time provide ideas, comments or suggestions ("Feedback") regarding the Services. Customer hereby assigns to Revelion all right, title, and interest in and to any Feedback. Revelion shall be free to use, copy, modify, licence, or otherwise distribute and exploit Feedback for any purpose, without obligation or restriction.


2. PAYMENT OF FEES

Customer will pay Revelion the applicable fees described in the Subscription Purchase Form for the Services in accordance with the terms therein (the "Fees").

If Customer's use of the Services exceeds the Service Capacity set forth on the Subscription Purchase Form or otherwise requires the payment of additional fees (per the terms of this Agreement), Customer shall be billed for such usage and Customer agrees to pay the additional fees in the manner provided herein.

Revelion reserves the right to change the Fees or applicable charges and to institute new charges and Fees at the end of the Initial Service Term or then-current renewal term, upon thirty (30) days' prior notice to Customer (which may be sent by email).

If Customer believes that Revelion has billed Customer incorrectly, Customer must contact Revelion no later than sixty (60) days after the closing date on the first billing statement in which an error or problem appeared in order to receive an adjustment or credit. Enquiries should be directed to Revelion's customer support.

Full payment for invoices issued in any given month must be received by Revelion thirty (30) days after the invoice date. Unpaid amounts are subject to a finance charge of 1.5% per month on any outstanding balance, or the maximum permitted by law, whichever is lower, plus all expenses of collection and may result in immediate termination of Service.

Customer shall be responsible for all taxes associated with Services other than UK taxes based on Revelion's net income, including but not limited to VAT where applicable.


3. TERM AND TERMINATION

Subject to earlier termination as provided below, this Agreement is for the Initial Service Term as specified in the Subscription Purchase Form and shall be automatically renewed for additional periods of the same duration as the Initial Service Term (collectively, the "Term"), unless either party requests termination at least thirty (30) days prior to the end of the then-current term.

In addition to any other remedies it may have, either party may terminate this Agreement upon thirty (30) days' notice (or without notice in the case of non-payment), if the other party materially breaches any of the terms or conditions of this Agreement.

Customer will pay in full for the Services up to and including the last day on which the Services are provided.

All sections of this Agreement which by their nature should survive termination will survive termination, including, without limitation, accrued rights to payment, confidentiality obligations, warranty disclaimers, and limitations of liability.


4. WARRANTY

REVELION PROVIDES NO WARRANTY WHATSOEVER. THE SERVICES ARE PROVIDED "AS IS," AND WITHOUT WARRANTY OF ANY KIND.

WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SERVICES, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUSIVE OF, BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

You agree that your use of the Services shall be at your sole risk. We make no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any information or content of the Services.

Customer Representations and Warranties:

Customer warrants and represents that:

  • It will not use the Services for any improper purpose, including, but not limited to unauthorised access to a computing device, alteration, disabling, or modification of system settings, unauthorised data access, data theft, and other illicit activities;
  • It will comply with all applicable laws and regulations concerning "computer crimes," "hacking," and "unauthorised access," including but not limited to the Computer Misuse Act 1990 (UK), and equivalent legislation in any other applicable jurisdiction;
  • It has obtained all necessary authorisations, permissions and consents to conduct security testing on any target systems using the Services;
  • It will only use the Services against systems it owns or has explicit written authorisation to test;
  • It bears sole and exclusive responsibility for ensuring that its use of the Services fully complies with all applicable laws and regulations.

Revelion has no obligation to monitor or guarantee the legality of your use of the Services.


5. INDEMNITY

Revelion offers no indemnity whatsoever. Revelion disclaims all liability arising from Customer's use of the Services, including, without limitation, all liability arising from the use of proprietary or third-party large language models or AI systems within the Services.

Customer will defend, indemnify and hold Revelion, its licensors, their affiliates, and each of their officers, directors, employees, representatives, and agents, harmless from and against any and all claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with:

  • (a) use of Services;
  • (b) your violation of these Terms;
  • (c) your use of the Services for any improper purpose, including, but not limited to unauthorised access to a computing device, alteration, disabling, or modification of system settings, unauthorised data access, data theft, violation of the Computer Misuse Act 1990, and other illicit activities; and
  • (d) any third-party claims arising from your use of the Services against systems you were not authorised to test.

Although Revelion has no obligation to monitor Customer's use of the Services, Revelion may do so and may prohibit any use of the Services it believes may be (or alleged to be) in violation of the foregoing.


6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVELION WILL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT REVELION HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY THE LAW OF THE APPLICABLE JURISDICTION, IN NO EVENT WILL REVELION'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE AMOUNTS YOU HAVE PAID OR ARE PAYABLE BY YOU TO REVELION FOR USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO REVELION, ONE HUNDRED POUNDS (£100), AS APPLICABLE.

THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN REVELION AND YOU.

Nothing in this Agreement shall limit or exclude liability for:

  • (a) death or personal injury caused by negligence;
  • (b) fraud or fraudulent misrepresentation; or
  • (c) any other liability that cannot be limited or excluded by applicable law.

7. DATA PROTECTION

Revelion will process any personal data in accordance with its Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

Customer acknowledges that in using the Services, vulnerability data and security findings may be processed and stored. Customer is responsible for ensuring appropriate data handling procedures for any sensitive information discovered during security assessments.


8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1 Governing Law

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

8.2 Jurisdiction

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).

8.3 Alternative Dispute Resolution

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue their legal remedies.


SCHEDULE A – SERVICE LEVEL TERMS

Services shall be available 99.9% measured monthly, excluding scheduled maintenance windows.

Uptime and downtime calculations will exclude periods affected by:

  • Scheduled maintenance (with reasonable prior notice provided)
  • Outages of third-party connections or services
  • Force majeure events
  • Any other reason beyond Revelion's reasonable control

Customer's sole and exclusive remedy, and Revelion's entire liability, in connection with Service availability shall be that for each period of calculated downtime lasting sixty (60) or more consecutive minutes, Revelion will credit Customer 5% of that month's service fees in the next subsequent billing period.

No more than one such credit will accrue per day. Such credits may not be redeemed for cash and shall not be cumulative beyond a total of credits for one (1) week of Service Fees in any single calendar month.

To receive downtime credit, Customer must notify Revelion in writing within 24 hours from the time of downtime. Failure to provide such notice will forfeit the right to receive downtime credit.

Revelion's blocking of data communications or other Service in accordance with its policies shall not be deemed to be a failure of Revelion to provide adequate service levels under this Agreement.


SCHEDULE B – SUPPORT LEVEL TERMS

Revelion will provide Technical Support to Customers via electronic mail during business hours: Monday to Friday, 9:00 AM to 5:00 PM GMT/BST, excluding UK Bank Holidays ("Support Hours").

Support Scope:

  • Account and billing enquiries
  • Technical issues with the Services
  • Feature questions and guidance
  • Bug reports and issue resolution

Out of Scope:

  • General security consulting
  • Remediation of vulnerabilities discovered by the Services
  • Custom development or integrations (available separately)

SCHEDULE C – ACCEPTABLE USE POLICY

Customer agrees to use the Services only for lawful purposes and in accordance with this Agreement. Customer shall not:

  1. Use the Services to conduct security testing against any system without explicit written authorisation from the system owner;
  2. Use the Services to conduct attacks against critical infrastructure, healthcare systems, emergency services, or other systems where disruption could cause harm to persons;
  3. Attempt to access, probe, or test any Revelion systems, infrastructure, or other customers' data;
  4. Use the Services for any purpose that violates applicable laws, including but not limited to the Computer Misuse Act 1990;
  5. Use the Services to develop competing products or services;
  6. Share, resell, or sublicense access to the Services without Revelion's prior written consent;
  7. Misrepresent findings or reports generated by the Services;
  8. Use the Services in any manner that could damage, disable, overburden, or impair the Services.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of Services without refund.
